Terms of Service & License Agreement

1. Software License & Trial Evaluation Mode

This End User License Agreement ("Agreement" or "EULA") is a legal contract between you ("Licensee") and Apex Plugins ("Licensor") governing your use of the Apex Amp audio plugin software ("Software"). By installing or using the Software, you affirm that you are at least 18 years of age (or possess valid legal parental or guardian consent) and have full legal capacity to enter into this binding Agreement.

• License Grant: The Software is licensed, not sold. Apex Plugins grants you a non-exclusive, non-transferable, revocable license to install and execute the Software on compatible host workstation software (DAWs).
• 7-Day Free Trial Mode: Unregistered evaluations ("Trial Version") permit full, unrestricted evaluation of all DSP features for up to seven (7) consecutive days (168 hours) from initial installation. Continued use past the trial period requires entry of a valid activation key.
• Perpetual Commercial License: Upon purchasing a license key, you are granted a perpetual license permitting simultaneous activation on up to three (3) personal workstation computers owned and operated exclusively by you.

2. Commercial Output & Preset Ownership

• Royalty-Free Audio Output: You retain 100% ownership and copyright over any musical audio processed, synthesized, or recorded using the Software. No royalties or credits are required.
• User Presets: You retain full ownership of custom rig preset files (.json) created using the Software interface.

3. Restrictions

You agree not to engage in any of the following prohibited actions:

• Reverse Engineering: You shall not reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code, DSP signal algorithms, pickup profiling models, or neural parameter maps of the Software.
• Asset Extraction: You shall not extract, isolate, copy, re-sample, or redistribute factory impulse responses (IRs), cabinet acoustic profiles, skin graphics, or embedded audio assets for use in third-party samplers, hardware loaders, or competing products.
• Unauthorized Redistribution: You shall not sell, lease, sublicense, host on public download servers, or transfer your license key to third parties without express written authorization from Apex Plugins.

4. Orders & Merchant of Record

Sales processing, payment transactions, invoicing, license key distribution, and global sales tax / VAT compliance are handled by Lemon Squeezy as our authorized Merchant of Record. The financial purchase agreement is formed strictly between you and Lemon Squeezy, whereas this Agreement (EULA) exclusively governs your software usage rights with Apex Plugins. You can access your invoices, manage device activations, or recover lost license keys anytime via the Lemon Squeezy Order Portal.

5. Refund & Satisfaction Policy

Apex Plugins provides a 7-Day Free Trial Mode allowing all prospective users to fully test and evaluate Apex Amp prior to purchase. In addition, purchases processed through Lemon Squeezy are backed by a 14-day refund policy. If you encounter unresolved technical issues or are dissatisfied with your purchase, you can contact us directly at [email protected] or manage your purchase and request a refund directly through your receipt on the Lemon Squeezy Order Portal within 14 days of purchase.

6. Disclaimer of Warranties & Limitation of Liability

• "AS IS" Provision: The Software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement.
• Limitation of Liability: In no event shall Apex Plugins be liable for any claim, damages, or indirect losses (including loss of data or session interruption) arising out of the installation or use of the Software.

7. Indemnification

You agree to indemnify, defend, and hold harmless Apex Plugins and its affiliates against any claims, liabilities, losses, damages, or expenses (including reasonable legal fees) arising from your unlawful use of the Software, violation of third-party intellectual property rights, or breach of this Agreement.

8. Termination

This Agreement remains effective until terminated. Your rights under this license automatically terminate if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and remove it from your host workstations.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Sweden, without regard to conflict of law principles. Official text file reference: Apex Amp EULA.txt.
