APEX AMP - END USER LICENSE AGREEMENT (EULA) =============================================================================== Last Updated: July 2026 | Apex Plugins (apex-plugins.com) =============================================================================== PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT" OR "EULA") CAREFULLY BEFORE INSTALLING, COPYING, OR USING THE APEX AMP AUDIO PLUGIN SOFTWARE ("SOFTWARE"). BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE. ------------------------------------------------------------------------------- 1. GRANT OF LICENSE ------------------------------------------------------------------------------- (a) Software License: The Software is licensed, not sold. Apex Plugins grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on compatible host systems (DAWs) solely for your personal or professional audio production use in accordance with this EULA. (b) Trial Evaluation Mode: If you are using an unregistered or evaluation version of the Software ("Trial Version"), Apex Plugins grants you a temporary license to evaluate the Software for up to seven (7) consecutive days from initial installation. Upon expiration of the Trial Period, continued use of the Software requires the purchase and entry of a valid perpetual activation key. (c) Perpetual License: Upon purchasing a valid license key, you are granted a perpetual license allowing simultaneous activation on up to three (3) personal workstation computers owned and operated exclusively by you. ------------------------------------------------------------------------------- 2. PERMITTED USE & COMMERCIAL ROYALTIES ------------------------------------------------------------------------------- (a) Audio Output & Commercial Production: You are fully permitted to use the Software to process, record, mix, and master audio tracks for commercial or non-commercial releases, film scoring, game audio, broadcast, and live performance. No royalty payments or attribution to Apex Plugins are required for any musical output generated using the Software. (b) User Presets: You retain full ownership of custom user presets (.json) created by you using the Software interface. ------------------------------------------------------------------------------- 3. RESTRICTIONS ------------------------------------------------------------------------------- (a) No Reverse Engineering: You shall not reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code, signal processing algorithms, pickup profiling models, or neural parameter maps of the Software. (b) No Extraction of Assets: You shall not extract, isolate, copy, re-sample, or redistribute factory impulse responses (IRs), cabinet acoustic profiles, skin graphics, or audio assets bundled within the Software for use in third-party samplers, hardware impulse loaders, or competing plugin products. (c) No Unauthorized Redistribution: You shall not sell, rent, lease, sublicense, distribute, host on public servers, or transfer the Software or your license key to any third party without express written consent from Apex Plugins. ------------------------------------------------------------------------------- 4. UPDATES & SUPPORT ------------------------------------------------------------------------------- Apex Plugins may, at its sole discretion, provide you with updates, bug fixes, or support for the Software. Apex Plugins is under no legal obligation to provide continuous updates, guarantee compatibility with future operating systems or DAWs, or provide ongoing technical support. ------------------------------------------------------------------------------- 5. PRIVACY & DATA COLLECTION ------------------------------------------------------------------------------- The Software may require an internet connection for license validation and activation. Aside from data required for activation and verifying license integrity, the Software does not collect, transmit, or sell personal telemetry, audio data, or usage metrics to Apex Plugins or third parties. ------------------------------------------------------------------------------- 6. INTELLECTUAL PROPERTY RIGHTS ------------------------------------------------------------------------------- All title, copyrights, trademarks, trade secrets, and intellectual property rights in and to the Software (including but not limited to C++ DSP code, AI Assistant logic, pickup profiling models, cabinet impulse responses, and visual interface designs) are owned exclusively by Apex Plugins. All rights not expressly granted are reserved by Apex Plugins. ------------------------------------------------------------------------------- 7. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY ------------------------------------------------------------------------------- (a) "AS IS" Provision: THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. (b) Limitation of Liability: IN NO EVENT SHALL APEX PLUGINS OR ITS SUPPLIERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE (INCLUDING LOSS OF DATA, DAW SESSION INSTABILITY, OR HARDWARE INTERRUPTION). ------------------------------------------------------------------------------- 8. INDEMNIFICATION ------------------------------------------------------------------------------- You agree to indemnify, defend, and hold harmless Apex Plugins from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software in a manner that violates this Agreement or infringes upon the rights of any third party. ------------------------------------------------------------------------------- 9. TERMINATION ------------------------------------------------------------------------------- This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Apex Plugins if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession. ------------------------------------------------------------------------------- 10. SEVERABILITY ------------------------------------------------------------------------------- If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. ------------------------------------------------------------------------------- 11. GOVERNING LAW & DISPUTE RESOLUTION ------------------------------------------------------------------------------- This Agreement shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.
